HONG KONG, May 30 /PRNewswire-AsiaNet/ -- Amway Asia Pacific Ltd. (NYSE: AAP; Australia AMW) today announced the final results of its issuer tender offer which expired at 12:00 midnight on Friday, May 23, 1997. Pursuant to the Offer, the Company purchased 3,681,657 shares of its common stock, $.01 par value, at $40.875 per share, including shares tendered pursuant to the guaranteed delivery procedure. Payment for the shares purchased pursuant to the Offer will promptly be made through The Bank of New York, the Depositary for the Offer. The Company purchased pursuant to the Offer an aggregate of 1,997,648 shares of common stock from two foundations established by its principal shareholders and 972,222 shares of common stock from Amway Japan Limited, an affiliate of the Company. Giving effect to this purchase, the principal shareholders presently beneficially own, in the aggregate, approximately 85 percent of the outstanding common stock and Amway Japan Limited no longer owns any shares of the Company's common stock. The Company commenced the Offer on April 28, 1997 for the purchase of up to 3,500,000 shares of its common stock. Under the terms of the Offer and in accordance with applicable rules and regulations, the Company exercised its right to purchase, without extending the Offer, all 3,681,657 shares validly tendered and not withdrawn (because the 181,657 additional shares did not exceed two percent of the shares outstanding prior to the Offer). The 3,681,657 shares purchased represent approximately 6.1 percent of the common stock outstanding prior to the Offer.
