affiliation agreement for the Chinese-based company's newly launched Absolute
Private Residence Club.

The Absolute Private Residence Club is a vacation club aimed principally at
the growing Asian timeshare market using carefully selected popular resorts in
high-demand locations, with exceptional design, luxurious furnishings and
superior quality service. The first two club locations to be included in this
Absolute Private Residence Club are the Jin Qiao International Apartments in
Beijing and certain units at the Samui Peninsula Spa and Beach Resort in Koh
Samui, Thailand.
