Public hearing on disclosure rule of corporate social responsibility

Bangkok--6 Dec--SEC The SEC is seeking public comment on a draft revision to the rule governing of disclosure requirement of securities issuers in policy and arrangement on anti-corruption, corporate social responsibility and qualificationsof employees in charge of corporate governance. The proposed revision would help investors and other stakeholders to gain a greater knowledge of the companies’ operations with increased transparency and prudence. The revision is in line with current international standards, which increasingly take into account these issues. Comments and suggestions on the matter are welcome until December 13, 2012. Under the draft revision, securities issuers will be required to disclose additional information in a registration statement, an annual registration statement, and an annual report including: (1) policy and arrangement of the company to prevent corruption, its response to any conflicts which might have significant impact onthe company and any related legal disputes, (2) policy and arrangements ofthe company to reveal its concerns with impacts on society, the environment and relevant parties; such as equitable treatment of employees and consumer responsibility and its responses to any conflicts which might have a significant impact on the companyand any related legal disputes, (3) the qualifications of a head of internal audit officer, the relevant information of a company secretary, and head of compliance unit.
