Thai bourse disciplines Syrus and UOB Kay Hian Securities

Bangkok--11 Dec--SET The Stock Exchange of Thailand (SET)’s Disciplinary Committee for Brokerage or Agent’s Fees Charged today found that Syrus Securities PCL (SYRUS) and UOB Kay Hian Securities (Thailand) PCL (UOBKHST) had violated SET regulations. These are the Rules and procedures for collecting brokerage or agent fees and the regulations on good corporate governance of members, B.E. 2547 and B.E. 2549 (dated Dec. 25), and the Relaxation on complying with the rules and procedures for charging brokerage or agent’s fees for the buying or selling of listed securities, B.E. 2550 (dated Feb. 27), SET Executive Vice President Mr. Suthichai Chitvanich said. SYRUS and UOBKHST gave some of their marketing officers who normally receive remuneration under incentive schemes credit for customers whose accounts they did not service, resulting in the officers receiving compensation contrary to SET’s regulations. By virtue of Articles 23, 30, 32 and 33 of the abovementioned regulations dated October 28, 2004; December 25, 2006 and February 27, 2007, the Disciplinary Committee has fined SYRUS THB 410,000 and UOBKHST THB 470,000. SYRUS must place four marketing officers, and UOBKHST must place two marketing officers, on probation for one year. In addition, the companies must ensure that their executives strictly monitor and control their firms’ operations in compliance with the Exchange’s regulations. Both companies have accepted the above penalties. They stated that they had been complying with the regulations and that the violations were unintentional, perhaps due to a misunderstanding or shortage of personnel. They have guaranteed the Exchange that their executives will supervise operations vigilantly, that better internal controls are in place and that all operations comply with the regulations of SET and the Thai Securities and Exchange Commission.
