Re: The Events Which a Listed Company is Required
to Report in Accordance With Section 57(6) ________________
By virtue of Section 57(6) of the Securities and Exchange Act B.E. 2535, which shall apply mutatis mutandis in accordance with Section 199 of the same Act, the Stock Exchange of Thailand hereby prescribes the events which affect or will affect the rights and interest of the securities holders or the decision-making on investment or the change of securities price of a listed company, which a listed company is required to report together with reasons, as follows:
Clause 1. In this Notification:
"Exchange" means the Stock Exchange of Thailand.
"listed company" means a listed company under the Regulations of the Stock Exchange of Thailand Re: Rules, Conditions and Procedures Governing Listing and Delisting of Securities.
Clause 2. A listed company shall report the following resolutions together with the reasons therefor to the Exchange upon adoption of such resolutions by its board of directors or shareholders meeting:
(1)an increase or decrease in its capital;
(2)payment or non-payment of dividends;
(3)amalgamation with other companies;
(4)change in the par value of its shares.
Clause 3. The listed company shall make the report in accordance with Clause 2 in writing and file the same with the Exchange without delay on the date of the occurrence of such event at least 1 hour prior to the commencement of each session of trading time of the Exchange or after such trading time but within the office hours of the Exchange.
Where it is impossible for the listed company to perform in accordance with the first paragraph, the listed company shall report in writing and file the same with the Exchange at least 1 hour prior to the commencement of the first session of trading time of the Exchange on the next working day.
This Notification shall come into force on the 31st day of May 1993.
