Re : Schedule of Fees for Listing of Securities in the Category of Ordinary Shares, Preferred Shares, Debentures, Convertible Debentures, or Warrants on Ordinary Shares or Preferred Shares or Debentures as Listed Securities

By virtue of Clause 26 of the Regulations of the Stock Exchange of Thailand Re: Rules, Conditions and Procedures Governing Listing and Delisting of Securities, the Stock Exchange of Thailand prescribes the rates of fees for approving securities in the category of ordinary shares, preferred shares, debentures, convertible debentures, or warrants on ordinary shares or preferred shares or debentures as listed securities as follows:
Clause 1.Securities in the Categories of Ordinary Shares and Preferred Shares:
1.1In filing an application for approval of securities as listed securities, the applicant company shall pay a fee in the amount of Baht 150,000.
If the company has its main business operation in a Provincial Zone and files an application for approval under Clause 8 and Clause 9 of the Regulations of the Stock Exchange of Thailand Re: Rules, Conditions and Procedures Governing Listing and Delisting of Securities, the applicant company shall pay a fee in the amount of Baht 75,000.
1.2For approval of securities as listed securities, the fees shall be as follows:
(1)Listed companies:
(a)An initial listing fee shall be paid at the rate of 0.05 percent of the shareholders' equity.
At the capital increase, the additional fee shall be paid at the rate of 0.05 percent of the amount of increase of the registered capital.
(b)An annual fee shall be paid in the amount of Baht 60,000 per annum plus 0.02 percent of the shareholders' equity, provided that the fee shall not be less than Baht 100,000 or in excess of Baht 6,000,000.
(2)Listed companies under the second paragraph of Clause 1.1:
(a)An initial listing fee shall be paid at the rate of 0.01 percent of the shareholders' equity.
At the capital increase, the additional fee shall be paid at the rate of 0.01 percent of the amount of increase of the registered capital.
(b)An annual fee shall be paid in the amount of Baht 30,000 per annum plus 0.01 percent of the shareholders' equity, provided that such fee shall not be less than Baht 50,000 or in excess of Baht 3,000,000.
If the listed company under the second paragraph of Clause 1.1 has been a listed company for a term of three years, the fees for the subsequent years shall be the same as those provided for a listed company in (1).
"Shareholders' equity" means the aggregate of the paid up capital, the reserve including other reserve appropriated from net profit and non- appropriated profit as shown in the latest balance sheet examined or reviewed by a certified public auditor which shall be used as the basis for calculation. However, shareholders' equity shall not include the value of warrants on ordinary shares, preferred shares or debentures.
Clause 2.Securities in the categories of debentures, convertible debentures, or warrants on ordinary shares or preferred shares or debentures:
At each approval of securities as listed securities, listed companies and listed companies under the second paragraph of Clause 1.1 shall pay fees as follows:
2.1In filling an application for approval of securities as listed securities, the applicant company shall pay a fee in the amount of Baht 30,000.
2.2For approval of securities as listed securities, the fee shall be as follows:
(a)An initial fee shall be paid at the rate of 0.025 percent of the sum of the debentures or convertible debentures or values of warrants on ordinary shares or preferred shares as of the date of filing the application for approval.
If the values of warrants on ordinary shares or preferred shares or debentures are not determined, the initial listing fee shall be paid in the amount of Baht 25,000.
(b)An annual fee shall be paid at Baht 25,000 per annum plus 0.01 percent of the sum of the debentures, convertible debentures or values of warrants on ordinary shares or preferred shares or debentures as of the date of filing the application for approval, provided that the fee shall not be less than Baht 30,000 or in excess of Baht 100,000.
If the values of warrants on ordinary shares, or preferred shares, or debentures are not determined, the fee shall be paid in the amount of Baht 50,000 per annum.
Clause 3.The fees under Clause 1 and Clause 2 for each subsequent year shall be paid in advance. The period from the first of July of a year until the thirtieth of June of the subsequent year shall constitute a year for the purpose of paying annual fees. Any fraction of such period shall be regarded as one year.
This notification shall come into force on the 20th day of April 1993.
