Additional Information Regarding Intention to Make a Tender Offer to Purchase Securities of The Siam Industrial Credit Public Company Limited

Bangkok--20 May--SiamCommercial Bank Bangkok: Further to the disclosure of the Siam Commercial Bank Public Company Limited (the “Bank”) to the Stock Exchange of Thailand (the “SET”) on May 19, 2011 that on May 18, 2011, the Bank issued an intention to make a tender offer to purchase all securities of The Siam Industrial Credit Public Company Limited (“SICCO”) . The Bank would like to additionally inform that according to the notification of the Securities and Exchange Commission, if the Bank acquires securities and a significant degree of control of SICCO, meaning the holding of shares of 50% or more of the total voting rights and/or nominating a substantial number of directors on the Board of Directors of SICCO, the Bank will have to make a chain principle tender offer to purchase all securities of SICCO Securities Public Company Limited (“SSEC”). Thus, if the Bank acquires SICCO’s shares from the tender offer such that the total holding of SICCO’s shares by the Bank and the Bank’s voting rights reach 50%, the Bank will have to make a tender offer to purchase all securities of SSEC. Such tender offer to purchase securities of SSEC will be proceeded after the tender offer to purchase securities of SICCO by the Bank has been successfully completed.
