Bangkok--Jul 19--Ratchaburi Electricity The newly company will serve operation and maintenance for 1400 MW gas-fired combined cycle power plant of Ratchaburi Power Company Limited Ratchaburi Electricity Generating Holding Public Company Limited (SET Symbol as “RATCH”) today notified to the Stock Exchange of Thailand (“SET”) of the resolutions of the Company’s Board of Directors Meeting held on July 18, 2005 that the Board has agreed the company to joint investment with Chubu Electric Power (Thailand) Company Limited (CEPT) to establish Chubu Ratchaburi Electric Service Company Limited (“CRESCO”). The company will have 50 percent interest in CRESCO, where its Shareholders Agreement will be entered by August 2005. CRESCO will serve operation and maintenance for 1400 MW gas-fired combined cycle power plant of Ratchaburi Power Co., Ltd. It will have initial registered capital of 40 million baht divided into 400,000 common shareswith par value of 100 baht per share. The company will take 200,000 common shares valued at 20 million baht in the new company. The total investment will be financed by working capital of the company and gradually paid based upon CRESCO’s need of funding. The first payment will be made by August 2005 amounted at 5 million baht equivalent to 25 percent of total shares. Ratchaburi Power 1,400 MW combined cycle power plant is operated by Ratchaburi Power Co., Ltd. It jointly owned 25 percent of total shares by Ratchaburi Alliances Company Limited, a subsidiary of Ratchaburi Electricity Generating Holding PCL., together with PTT Plc. of 15 percent, Union Energy of 10 percent, Hong Kong Electric of 25 percent, Chubu Electric of 15 percent and Toyota Tsusho of 10 percent. The project is located at Ratchaburi province and currently in preparation for construction. The commercial operation is scheduled to commence in 2008.
