Bangkok--5 Jun--DTAC
Total Access Communication Public Company Limited (DTAC) kicked off its first roadshow for retail investors today in Bangkok and will hold regional roadshows to promote its upcoming initial public offering (IPO) in Khon Kaen, Chiang Mai and Phuket on June 6, 7 and 8, respectively. The company has set the price range between 35 Baht and 42 Baht. The subscription period is expected to be during June 12-13.
The offering will be led by Kasikorn Securities Public Company Limited and SCB Securities Company Limited with an international support from J.P. Morgan Securities Limited.
The subscription period for retail investors is expected to be between June 12 and 13. Interested investors can submit their subscription forms to their brokers or any of the 1,500 branches of Kasikorn Bank or Siam Commercial Bank nationwide.
Chief Executive Officer Sigve Brekke said the IPO would enable Thai people to invest in the future growth of DTAC, a leading mobile operator with more than 13 million subscribers.
“It’s been our intension to make this offering the People’s IPO, allowing Thai people to own DTAC and be a part of the company’s future success. To do so, not only have we allocated 65% of the total shares for local retail investors but we will also guarantee a minimum of 500 shares to all investors to ensure broad and fair distribution to public. The rest will go to institutional investors,” he said.
During the EGM on 30 April 2007, DTAC’s shareholders approved its listing on the SET and the restructuring plan. The plan is one transaction with two steps. First, DTAC will launch an offering that will consist of 222 million shares. Second, once DTAC is listed on the SET, the Company will launch a delisting tender offer for all of the shares of parent UCOM in exchange for newly issued DTAC shares. Once completed, UCOM would be a de-listed subsidiary of DTAC.
When listed on the SET, DTAC will qualify for a 5% reduction in corporate income tax rate for the three consecutive years. DTAC also plans to maintain the listing of its shares on the Singapore Stock Exchange, making it the first company to have a dual listing in Thailand.
The successful listing of DTAC will positively contribute to the market capitalization of the SET. Based on DTAC’s current share price, DTAC will be the largest company to be listed on the SET since 2003. DTAC’s listing will contribute around Baht 100 billion to the SET, making DTAC one of 15 largest companies traded on the Thai exchange.
During the IPO, 222 million shares or 9.36% of the company’s total shares will be offered to interested investors. These 222 million shares come from 140 million DTAC common shares held by UCOM and 82 million capital-increase shares at 2 baht par value.
As for the ratio of the share allocation, 77.70 million shares will be designated for institutional investors, both local and foreign; 77.70 million shares to Thai individual investors through booking via bank branches; 51.06 million shares to general public; 11.10 million shares to employees and 4.44 million shares to company’s supporters.
The trading of DTAC stock on the SET is expected to happen on June 22, subject to the SEC final approval.
