Ratchaburi Holding Signs Shareholders Agreement with its Joint-Ventures Set Two Companies Operating Hongsa Power Plant

Bangkok--5 Feb--RATCH Ratchaburi Electricity Generating Holding PCL. signs shareholders agreement with its joint ventures to establish Hongsa Power Co., Ltd. and Phu Fai Mining Co., Ltd. for the development of Hongsa Power Plant project in Lao PDR. Mr. Noppol Milinthanggoon, Managing Director of Ratchaburi Electricity Generating Holding PCL. (“RATCH”) mentions to Hongsa Coal-Fired Thermal Power Plant’ s project progress that “the Company and its two joint-ventures currently sign the shareholders agreement to set Hongsa Power Co., Ltd. and Phu Fai Mining Co., Ltd., where the head offices are located in Vientain, Lao PDR. With a registered capital of 100,000 USD, Hongsa Power Co., Ltd. operates for electricity generation concession whereas Phu Fai Mining Co., Ltd., with a registered capital of 50,000 USD, aims for lignite mining concession. In order to establish these two companies, RATCH will invest 58,750 USD by using the Company’s working capital. The Shareholders Agreement Signing Ceremony between Ratchaburi Electricity Generating Holding PCL., Banpu Power Co., Ltd and Lao Holding State Enterprise would take place on February 5, 2009. This indicates to the readiness and well-preparation for Hongsa Power Plant’s development as a future power generating project for Thailand.” In order that, the registered capital of 100,000 USD of Hongsa Power Co., Ltd. is divided into 10,000 ordinary shares valuing 10 USD per share. The Company initially has 40% of project investment while Banpu Power Co., Ltd. and Lao Holding State Enterprise have 40% and 20% of investment respectively. For the registered capital of 50,000 USD of Phu Fai Mining Co., Ltd. is divided into 5,000 ordinary shares valuing 10 USD each. RATCH initially holds 37.5% of this project whereas Banpu Power Co., Ltd. and Lao Holding State Enterprise hold 37.5% and 25% respectively. Located in Hongsa Sub-District, Chaiyaburi District in Lao PDR, Hongsa Power Plant is an electricity generating project using lignite as a primary fuel and its installed capacity is approximately at 1,878 MW. With a 40% stake of RATCH, the Company has 751 MW increased from project’s proportion capacity. Moreover, this project is set to sell electricity to Thailand. Company’s Information Ratchaburi Elecrtricity Generating Holding PCL is a leading independent power producer in Thailand with 4,347 MW in total capacity deriving from its investment in many power plant projects both domestic and international. The Company’s capacity portion by equity own in domestic projects are as follows: The current commercial operating plants are located in Ratchaburi province consisted of a 3,645-MW Ratchaburi’s Power Plant, a 350-MW Tri Energy’s Power Plant, a 350-MW Ratchaburi Power’s Power Plant. And there is a 1.75-MW power generating from Associated Gas Project in Sukhothai province. The investment in international projects are consisted of a 153.75-MW Nam Ngum 2’s Hydro Power Plant, a 110-MW Nam Ngum 3’s Hydro Power Plant, a 93-MW Xae Pien-Xae Nam Noi’s Hydro Power Plant and a 751-MW Hongsa’s Power Plant in Lao PDR.
