Univentures disclosed its capital increase to allot the newly issued shares of 221.5 million shares at the total amount of 450 million Baht to Sirivadhanabhakdi to support the expanding of its business plan in Property Investment.

Bangkok--13 Jun--Ayudhya Securities According to a Board resolution on June 12th 2007, the Board of Univentures PLC resolved to issue a private placement of 221.5m shares at Bt2.04 to Mr. Thapana Sirivadhanabhakdi and Mr. Panot Sirivadhanabhakdi , equating to 29% of the enlarged issued capital in the company after the private placement. This private placement is subject to shareholder approval which will be sought at an extraordinary shareholder meeting no.1/2007 on July 12th 2007. The new investors have the intention to increase their shareholding in Univentures to over 50% of the total increased capital. Following the private placement, the new investors will undertake a tender offer for the remaining outstanding shares in the company in accordance with the rules and regulations of the SET. The Board of Directors also received notification from the three core shareholders namely Mr. Kittiratt Na Ranong, Mr. Rob Collins and Mr. Iain Donnachie that they have agreed to sell 170m existing shares to the new investors at the private placement price of Bt 2.04. This would increase their shareholding to 51.84% of the fully registered capital of the company. The major shareholders will remain as advisors to the Board. ‘This private placement is a key strategic step for Univentures, bringing in a strong shareholder to support our goal of growing into a leading property investment company.’ Said Ms. Ornruedi Na Ranong, CEO of Univentures ‘Although the new investors will become the majority shareholders in the company, there will be no affect on the management, employees and current business operations of the company. The new investors will join the Board of UV and oversee the strategic direction of the company in the future.’ Mr. Thapana said ‘We invested in Univentures because we believe in the investment model, we believe in the management and we believe that with our financial support the company has a lot of growth potential.’ Mr. Panot added ‘We have no intention of delisting Univentures and look forward to being involved in its future development.’ Univentures currently has paid up capital of Bt542,026,049 and is listed on the stock exchange of Thailand under the ticker code ‘UV’ in the Property and Development sector.
